Portola Technology. Any Technology, other than Manufacturer Technology and Improvements, that relates to Portola Materials and/or the Product and (a) is owned or otherwise controlled by Portola prior to the Effective Date or (b) is developed or obtained by or on behalf of Portola independent of this Agreement and without reliance upon the Confidential Information of Manufacturer or Manufacturer Technology
