Post Amendment Exercise Date

Post Amendment Exercise Date. The first Exercise Date following the Offering Period beginning on or about the November 1, 2001 effective date of this amendment and restatement of the Plan. For the sake of clarity, the Post Amendment Exercise Date shall be the later of (i) April 30, 2002, or (ii) the last Trading Day of the Offering Period ending on April 30, 2002, or (iii) the earliest date thereafter as is administratively feasible.
