Pre CiC 3 Year Average Incentive Compensation. The average of the Incentive Compensation for the three Fiscal Years immediately preceding the Fiscal Year of a Change in Control. If Employee was employed by the Group for less than such three prior Fiscal Years then the Pre CiC 3 Year Average Incentive Compensation shall be calculated based only on the prior Fiscal Years in which Employee was employed by the Group.
