Preference Factor

Preference Factor. Shall, with respect to a share of Series E Preferred Stock or Series F Preferred Stock, as the case may be, mean a number equal to (a) 1.5 until but not including the one year anniversary from the date of issuance of such share, (b) 2.0 for the period 25 beginning the one year anniversary from the date of issuance of such share and until but not including the two year anniversary from the date of issuance of such share, and (c) 2.5 from and after the... two year anniversary of the date of issuance of such share; provided that, notwithstanding the foregoing, the Preference Factor with respect to a share of Series F Preferred Stock which was issued upon conversion of Series E Preferred Stock shall be determined as if the date of issuance of such share of Series F Preferred Stock were the date of issuance of the share of Series E Preferred Stock which had been converted into such share.
