Present Client

Present Client. Shall mean, at any particular time, any Person who, to the Knowledge of Employee, at the time of Employee's employment or thereafter is an advisee or investment advisory customer of, or otherwise a recipient of Investment Management Services from, Deerfield or any of its Affiliates (directly or indirectly).

Present Client. Subject to the general rules under the definition of Client, at any particular time of determination, any Person (i) who is at such time of determination, directly or indirectly (and including, without limitation, through one or more intermediaries such as a wrap sponsor, or as an investor in a Fund for which the Company or any subsidiary or Affiliate thereof acts as a sponsor, adviser or sub-adviser or in a similar capacity), an advisee or investment advisory customer or client of (or... otherwise a direct or indirect recipient of Investment Management Services from) (x) the Company or any subsidiary or Affiliate thereof and/or (y) any owner, part owner, shareholder, partner, member, director, officer, trustee, employee, agent or consultant (or persons acting in any similar capacity) of the Company or any subsidiary or Affiliate thereof acting on behalf of the Company or any subsidiary or Affiliate thereof, and (ii) with which Grantee or Grantee's department had material, direct interaction with and/or with respect to which Grantee had access to proprietary or confidential information.
