Example Definitions of "Prime Rate Margin"
Prime Rate Margin. Means zero percent (0.0%).
Prime Rate Margin. Shall mean (a) zero percent (0%) if the average daily principal balance of Revolving Loans during the immediately preceding calendar 3 month is equal to or less than $60,000,000, (b) one-quarter of one percent (0.25%) if the average daily principal balance of Revolving Loans during such period is in excess of $60,000,000 but less than or equal to $120,000,000, and (c)... one-half of one percent (0.5%) if the average daily principal balance of Revolving Loans during such period is in excess of $120,000,000 but less than or equal to $160,000,000. If the Borrower Agent completes an offering of its equity securities in which the net proceeds are at least $50,000,000 (which for purposes of this definition, such amount of net proceeds shall not include any amount of proceeds distributed by Borrower Agent to any other Person that is not a Borrower hereunder, as permitted pursuant to the terms of this Agreement), Borrowers may request that Lenders reduce the Prime Rate Margin by up to one-quarter of one percent (0.25%).
