Private Placement Stock. Means (i) in connection with a conversion under Section 3.1(a)(y)(i) hereof, the Company's Series A Preferred Stock, or (ii) in connection with a conversion under 3.1(a)(y)(ii) hereof, the preferred stock of the Company issued in connection with its most recent Private Placement.
