Pro-Rata Annual Bonus. An amount equal to (i) Employee's target annual Bonus (as defined in Section 7 hereof) for the calendar year that includes the date of Employee's termination of employment as determined pursuant to Section 7 hereof, multiplied by (ii) a fraction, the numerator of which is the number of days Employee was actually employed hereunder during such calendar year and the denominator of which is the number of days in such calendar year.
