Pro Rata Basis

Pro Rata Basis. With respect to a Registration Statement means relative to the number of Registrable Securities then held by each Holder whose Registrable Securities are included in the Registration Statement

Pro Rata Basis. Means a pro rata allocation based on the number of shares of Common Stock requested to be included in a registered offering pursuant to this Agreement.

Pro Rata Basis. Means an allocation among the Sellers in proportion to their respective holdings of the Company Shares as set forth on Section 3.1(d) of the Disclosure Schedules.

Pro Rata Basis. With respect to the allocation among Subscribers of interest and other earnings held in the Escrow Funds, shall mean, for each Subscriber, the Subscriber's Cash Investment multiplied by the number of days the Cash Investment of such Subscriber was held in interest-bearing investments pursuant to Section 6 hereof, multiplied by the average yield earned on the Escrow Funds during such period of days.

Pro Rata Basis. Rentable square footage of the Premises divided by the rentable square footage of the Project, which as of the date hereof is Fifty-Three and 92/100 percent (53.92%)

Pro Rata Basis. With respect to the allocation among Purchasers of interest and other earnings held in the Escrow Funds, shall mean, for each Purchaser, the Purchaser's Cash Investment multiplied by the number of days the Cash Investment of such Purchaser was held in interest-bearing investments pursuant to Section 6 hereof, divided by the product of the total subscriptions multiplied by the number of days invested, multiplied by the investment earnings on the Escrow Funds during such period of days.
