Pro Rata Bonus/LTC Award

Pro Rata Bonus/LTC Award. An amount equal to 100% of the Executive's target bonus and target long-term compensation that the Executive would have been eligible to receive for the Company's fiscal year in which the Executive's employment terminates, multiplied by a fraction, the numerator of which is the number of days in such fiscal year through the Termination Date and the denominator of which is 365.
