Pro Rata Share

Pro Rata Share. Pro Rata Share means, with respect to a Lender, the percentage obtained by dividing such Lender's Commitment by the aggregate Commitments of all Lenders.

Pro Rata Share. With respect to any Co-Tenant, the percentage interest set for such Co-Tenant in the Preamble on page 1 hereof, as adjusted from time to time pursuant to the terms hereof.

Pro Rata Share. Means an allocation based upon Ownership Interests of the Parties responsible, i.e. each Party who is responsible for Losses will be liable in an amount equal to such Losses multiplied by a fraction whose numerator is the Ownership Interest percentage of such Party and whose denominator is the sum of the Ownership Interest percentages of all of Parties responsible for such Losses.

Pro Rata Share. Means, in connection with the offer of New Securities as described in Subsection 4.1(e), an amount equal to the product of (i) the number of New Securities actually purchased by Investors and (ii) the quotient of (x) the number of shares of Common Stock issued or issuable upon conversion of Preferred Stock then held by a Waived Investor bears to the total Common Stock issued or issuable upon conversion of Preferred Stock then held by Investors that actually purchased New Securities.

Pro Rata Share. With respect to each Selling Partner, an amount (expressed as a percentage) equal to a fraction, the numerator of which is the Allocable Portion of the Aggregate Net Consideration to be received by such Selling Partner in connection with the Sale, and the denominator of which is the Aggregate Net Consideration

Pro Rata Share. Is the ratio of (a) a number of shares of Common Stock equal to the sum of (1) the number of Shares then beneficially owned by Purchaser, plus (2) any shares of Common Stock issued pursuant to Section 4.13 of the Purchase Agreement to (b) a number of shares of Common Stock equal to the sum of (1) the total number of shares of Common Stock then outstanding, plus (2) the total number of shares of Common Stock into which all then outstanding options and warrants are then convertible

Pro Rata Share. With respect to the Holder at any time a fraction (expressed as a percentage) the numerator of which is the outstanding principal amount of this Note at such time and the denominator of which is $10,000,000; provided that for purposes of Sections 2(b), (c) and (d) the numerator used to calculate "Pro Rata Share" shall be the outstanding principal amount of this Note immediately prior to the consummation of the 797 Sale, the Qualified 797 License or Sale of Maker, as applicable.

Pro Rata Share. With respect to any Investor, an amount equal to (i) the Eligible Securities held by such Investor, divided by (ii) the sum of the number of shares of Common Stock outstanding, plus the number of shares of Common Stock issuable to upon conversion, exercise or exchange of all outstanding Derivative Securities

Pro Rata Share. Means, with respect to each Royalty Holder, the percentage set forth opposite such Royalty Holder's name on Schedule I hereto.
