Pro-rated Bonus Award

Pro-rated Bonus Award. Shall mean an amount equal to the award otherwise payable to a Participant for the Plan Year in which the Participant's termination of employment with the Company (other than for Cause) is effective, multiplied by a fraction the numerator of which is the number of full and partial months in the applicable Plan Year through the date of termination of such Participant's employment, and the denominator of which is twelve (12).
