Proceeding. Means any (a) insolvency, bankruptcy, receivership, liquidation, reorganization, readjustment, composition or other similar proceeding relating to any Credit Party, their respective property or their creditors as such, (b) proceeding for any liquidation, dissolution or other winding-up of any Credit Party, voluntary or involuntary, whether or not involving insolvency or bankruptcy proceedings, (c) assignment for the benefit of creditors of any Credit Party or (d) other marshaling of the assets... of any Credit Party; provided that the term "Proceeding" shall not include a state corporate law (as compared to a Bankruptcy Code or other debtor relief law) liquidation of any Person. Proceeding. Shall mean any case or proceeding, voluntary or involuntary, under the Bankruptcy Code, or any similar existing or future law of any jurisdiction, state or federal, relating to bankruptcy, insolvency, reorganization or relief of debtors.
