Product Transaction

Product Transaction. Shall mean a transaction between Eton and a Third Party consummated after the Restatement Date pursuant to which Eton conveys (whether by license, sale of assets, or a combination thereof) to such Third Party substantially all of Eton's rights to develop, manufacture and commercialize Products in the Territory; but, in each case, specifically excluding any Excluded Transaction.
