Project Completion. (a) the substantial completion of core and shell improvements on a Project, substantially and in all material respects in accordance with the Approved Project Items with respect thereto, together with (b) the issuance of a temporary or permanent "certificate of occupancy" for the building core and shell, if and to the extent that such a certificate of occupancy can be obtained prior to the completion of tenant improvements.
