Proportionate Percentage. With respect to any Remaining Shareholder, the percentage obtained by dividing (i) the number of Shares owned by such Remaining Shareholder by (ii) the aggregate number of Shares owned by all Remaining Shareholders as a group. For purposes of determining the number of Shares owned, the number of Shares represented by each Share of Preferred Stock shall be equal to the number of Shares of Common Stock into which such Shares of Preferred Stock might be converted.
Proportionate Percentage. With respect to each Electing Right Holder a fraction, the numerator of which shall be the amount of shares of Stock owned by such Electing Right Holder and the denominator of which shall be the total amount of shares of Stock owned by all Electing Right Holders, in each case on a common-equivalent basis
Proportionate Percentage. The percentage that expresses the ratio of (x) the number of issued and outstanding shares of capital stock of the Company (on an as converted basis) then owned of record by such stockholder over (y) the aggregate number of outstanding shares of capital stock of the Company (on an as converted basis)
