Proposal

Proposal. Means any agreement, arrangement, offer or proposal (including a letter of intent, term sheet, form of definitive agreement or definitive agreement) for a Sale Event.

Proposal. Proposal shall mean the proposal submitted by the Parties to the Advanced Technology Program, and which has been accepted by NIST for funding.

Proposal. Shall mean the proposal to be submitted to the stockholders of the Maker at the Special Meeting to approve the issuance of the Preferred Stock (as defined in the Purchase Agreement) upon conversion of the Notes and the issuance of the Warrants to be issued at the Second Closing (as defined in the Purchase Agreement) in accordance with the terms of the Purchase Agreement. 1

Proposal. Means Appendix B annexed hereto and any subsequent Proposal agreed to in writing by the parties concerning the API that specifically references this Agreement. The Proposal and each subsequent Proposal shall be deemed incorporated into this Agreement with respect to scope of work, time for performance and cost of services only.

Proposal. The NA proposal "CytRx Flocor Proposal" dated June 25, 1999, and the modified proposal "CytRx Proposal" dated July 28, 1999.

Proposal. Shall mean a description of a set of services and products to be provided by Evonik to Customer under this Agreement, as mutually agreed in writing, executed and delivered by the Parties from time to time. A template for a Proposal is attached as Attachment A.
