ProRata Amount

ProRata Amount. An amount determined by dividing the number of shares of Series C Preferred Stock issued to the applicable holder on the Original Issue Date by the Original Issuance Number; provided that a holder's Pro-Rata Amount will be equitably adjusted to reflect any Optional Conversions.
