Prorata Share

Prorata Share. The fraction, the numerator of which is equal to the number of shares of Common Stock issued or issuable upon conversion of the Series C Shares held by such Series C Purchaser and the denominator of which is the total number of Voting Shares of the Company.

Prorata Share. Prorata Share. Shall mean, with respect to any Service Constraint Period, the percentage obtained by dividing (i) the estimated needs for such Specified Service of CLI during the estimated Service Constraint Period by (ii) the total estimated needs for such Specified Service of CLI, LCC and the other recipients of such Specified Service during such estimated Service Constraint Period, all as determined by LCC in its reasonable judgment in accordance with Section 2.3.
