Prorata Supplemental Award

Prorata Supplemental Award. Shall mean an amount equal to 30% of the total cash compensation used to determine the amount of the Supplemental Award granted immediately prior to the Date of Termination multiplied by a fraction, the numerator of which is the number of days that the Executive is employed by the Company during the year in which the Date of Termination occurs and the denominator of which is 365.
