Example Definitions of "ProRated Achieved Incentive"
ProRated Achieved Incentive. Means an amount equal to the product of (a) the Aggregate Excess EBITDA, multiplied by (b) the product of (i) the Participant's Applicable Percentage, multiplied by (ii) a fraction, equal to (A) the number of days the Participant was employed during the Performance Period divided by (B) 1,095 (the number of days in the Performance Period), with the resulting percentage rounded to the nearest hundredth.
