Example Definitions of "Prorated Amount"
Prorated Amount. A number equal to the total number of outstanding Restricted Incentive Units granted hereunder multiplied by a fraction (i) the numerator of which is the number of days that elapse from the Vesting Commencement Date to the date of the Qualifying Termination and (ii) 1 the denominator of which is the full number of days beginning on the Vesting Commencement Date and ending at the conclusion of the Restricted Period (as defined below).
