Proxy Shares

Proxy Shares. The Common Shares beneficially owned by LIC to the extent that Liberty has the right to vote such shares pursuant to this Agreement

Proxy Shares. The shares of Class A Common Stock and Class B Common Stock to the extent that Liberty has the right to vote such shares pursuant to this Agreement; provided, that the number of Proxy Shares shall equal the number of shares of Class A Common Stock and Class B Common Stock that would cause the Voting Interest of Liberty to equal the Target Percentage; provided, further, that the maximum number of Proxy Shares shall not exceed the Proxy Percentage.
