Purchaser Entity

Purchaser Entity. With respect to any Component which is declared prior to or at the Effective Time (and still pending and unpaid immediately prior to or at the Effective Time) shall be deemed to have been paid and received by the Investors, to the extent entitled to such dividend or distribution, immediately prior to the Effective Time.
