PVC Letter. The amounts described in the paragraphs numbered 1, 2 and 5, and the paragraph immediately following paragraph 5, in the letter agreement dated June 15, 2000, between Parchman Vaughan & Company, L.L.C. ("PVC") and the Company, a copy of which is attached as EXHIBIT 1 (the "PVC Letter").
