Qualified Company Acquisition. A Change of Control pursuant to which assuming for this purpose that the Shares were issued and outstanding immediately prior thereto the holder of the Shares would be entitled to receive consideration in respect of the Shares solely in the form of cash equity securities issued by a Person other than the Company and listed for trading on a national securities exchange in the United States or a combination of the foregoing.
