Example Definitions of "Qualified Equity Financing"
Qualified Equity Financing. The term "Qualified Equity Financing" is an equity financing pursuant to which the Company sells shares of a new series of preferred stock with an aggregate sales price of not less than $10,000,000, including any and all convertible bridge notes (including Notes issued under the Note Purchase Agreement) which are converted into preferred stock and with the principal purpose of raising capital.
Qualified Equity Financing. The term "Qualified Equity Financing" is the Company's next equity financing pursuant to which the Company sells shares of its capital stock with an aggregate sales price of not less than $5,000,000, excluding any and all convertible bridge notes (including Notes issued in the Convertible Note Financing (as defined in the Note) pursuant to which this Warrant is issued), with the principal purpose of raising capital.
Qualified Equity Financing. The sale by the Company of not less than $5,000,000 in gross proceeds through the offer and sale of Common Stock and/or Preferred Stock, which may include warrants or other Common Stock Equivalents (as applicable, the "Equity Securities"), which minimum amount shall include the principal amount of any Notes that are converted into Equity Securities, or such lesser amount as may be mutually agreed upon by the Company and the Majority Note Holders
Qualified Equity Financing. The term "Qualified Equity Financing" means an equity financing pursuant to which the Company sells shares of its Preferred Stock with an aggregate sales price of at least $2 million ($2,000,000), excluding any and all convertible bridge notes (including Notes issued pursuant to Schedule 1 of the Convertible Promissory Note) which are converted into preferred stock and with the principal purpose of raising capital.
Qualified Equity Financing. Means the consummation by the Company prior to the Maturity Date of a financing with an aggregate sales price of not less than $4,000,000, excluding any and all convertible bridge notes which are converted into such equity securities (including this Note and the other Notes) pursuant to which it sells equity with the principal purpose of raising capital.
Qualified Equity Financing. The next sale (or series of related sales) by the Company of its Preferred Stock following the date of this Agreement, from which the Company receives gross proceeds of not less than $2,000,000
Qualified Equity Financing. Means the offer and sale for cash by Borrower of any of its equity securities with the principal purpose of raising capital and that results in aggregate gross proceeds to Borrower of at least $5,000,000 (excluding any portion of the Principal Amount of any of the Notes that shall be converted into Borrower equity securities pursuant to Section 6 of this Note, or any other convertible debt issued by the Company that are exchanged for equity securities of the Company in such financing)
Qualified Equity Financing. A bona fide equity financing, with the principal purpose of raising capital, pursuant to which the Company issues shares of its capital stock with aggregate gross proceeds to the Company of not less than USD$1,000,000, excluding any and all notes which are converted and any other indebtedness
