Qualified Financing Closing

Qualified Financing Closing. Means the Closing (as defined in the Purchase Agreement) at which time the Company has sold and issued an aggregate (in one or more Closings) of at least 42,203,103 shares of Series B Preferred Stock pursuant to the Purchase Agreement, as amended from time to time.
