Qualified Member. A member of the Committee who is a 'Non-Employee Director' within the meaning of Rule 16b-3(b)(3), an 'outside director' within the meaning of Treasury Regulation ยง1.162-27 under section 162(m) of the Code and, to the extent required by any applicable Listing Requirement, an 'independent' director.
