Qualified Public Offering Stock. (i) the shares of common stock of the ATX Technologies, Inc., in the event of a Qualified Public Offering of its common stock, or (ii) the shares of common stock of ATX Group, in the event of a Qualified Public Offering of its shares of common stock following an ATX Reorganization.
