Qualified Public Offering. The first underwritten public offering of securities of the Company pursuant to an effective registration statement under the Act (other than a registration statement relating either to the sale of securities to employees of the Company pursuant to a stock option, stock purchase or similar plan or a transaction consummated pursuant to Rule 145 promulgated under the Act) resulting in gross proceeds to the Company (before deducting underwriting discounts and commissions) of at least $150,000,000
