Example Definitions of "Qualified Termination Event"
Qualified Termination Event. Shall mean (i) a termination of the Covered Executive's employment by the Company other than for Cause, death or Disability or (ii) the Covered Executive's resignation from the Company for Good Reason.
Qualified Termination Event. The termination of a Participant's employment with a member of the TOIC Group on account of death, disability or termination by a member of the TOIC Group without Cause prior to a Company Sale. 2
Qualified Termination Event. Shall mean (i) a termination of the Eligible Executive's employment by the Company other than for Cause, death, or Disability or (ii) for Tier 1 Executive and Tier 2 Executives, the Eligible Executive's resignation from any member of the Company Group for Good Reason.

Qualified Termination Event. Termination of the Executive's employment by the Company under the circumstances set forth below in Section 4(d)(i) (Termination by the Company without Cause) or Section 4(d)(ii) ("The Executive's Resignation for Good Reason"), in any event subject to provisions in Section 4(e).
