Qualifying LongTerm Incentive Award
Qualifying LongTerm Incentive Award. Means a long-term incentive award (whether cash-based or equity-based, and whether payable in cash or in stock) (i) that is granted to the Executive under the EIP after the date of this Agreement and (ii) that is non-performance-based or, if performance-based, is based solely on changes in the price of the Company's common stock. As used herein, "long-term incentive award" means an award with a vesting period that is longer than one year in duration.
