Qualifying Payments

Qualifying Payments. Means gross payments to the Company or its designated Affiliates made by or on behalf of Amazon and/or any of its Affiliates (including by third parties), relating to business anywhere in the world under the Commercial Arrangements or otherwise, less payment amounts attributable to components purchased by the Company or its designated Affiliates upon instruction by Amazon in accordance with the Commercial Arrangements.

Qualifying Payments. Means (x) aggregate gross payments made by or on behalf of Amazon and/or any of its Affiliates (including by third parties), relating to business anywhere in the world under the Commercial Agreement or otherwise, less (y) payments for Amazon Funded Components (as defined in the Commercial Agreement).
