Quoted Price. Means, on any Trading Day, with respect to any security, the last reported sales price regular way or, in case no such reported sale takes place on such Trading Day, the average of the reported closing bid and asked prices regular way, in either case on the New York Stock Exchange or, if such security is not listed or admitted to trading on such exchange, on the principal national securities exchange on which such security is listed or admitted to trading or, if not listed or admitted to... trading on any national securities exchange, on the National Association of Securities Dealers Automated Quotations National Market System or, if such security is not listed or admitted to trading on any national securities exchange or quoted on such National Market System, the average of the closing bid and asked prices in the over-the-counter market in the United States as furnished by any NASD member firm that shall be selected from time to time by the Corporation for that purpose. Quoted Price. Means, for any Trading Day, the price determined as follows: (i) if the Common Stock is listed on the New York Stock Exchange, the daily volume weighted average price of the Common Stock on the New York Stock Exchange as reported by Bloomberg Financial L.P. (based on a Trading Day from 9:30 a.m. Eastern Time to 4:00 p.m. Eastern Time); (ii) if the foregoing does not apply, the daily volume weighted average price of the Common Stock on any trading market where the Common Stock is listed or... traded as reported by Bloomberg Financial L.P. (based on a Trading Day from 9:30 a.m. Eastern Time to 4:00 p.m. Eastern Time); (iii) if the foregoing does not apply, the daily volume weighted average price of the Common Stock on a national exchange or in the over-the-counter market on the electronic bulletin board for the Common Stock; or (iv) if the foregoing does not apply, the most recent bid 4 price per share of Common Stock as reported in the "pink sheets" by the National Quotation Bureau, Inc., in each case, for such Trading Day. If the Quoted Price cannot be calculated for the Common Stock on any of the foregoing bases, the Quoted Price of the Common Stock shall be the fair market value as determined by the Board of Directors in good faith and reflected in a formal resolution. Quoted Price. The term "Quoted Price" with respect to either the Class A Common Stock or another security shall mean the last reported sales price of the applicable security as reported by the National Association of Securities Dealers, Inc.
