Rainforest Acquisition Effective Date

Rainforest Acquisition Effective Date. Means the date on which the Borrower is obligated to purchase an amount of the common stock of Rainforest Cafe, Inc. which, when added to the amount of common stock of Rainforest Cafe, Inc. which is already owned by the Borrower or any of its Affiliates, comprises greater than 50% of the total outstanding common stock of Rainforest Cafe, Inc.
