Raser Note

Raser Note. A promissory note (the "Raser Note") in the principal amount of up to $24,500,000, as provided in this Agreement, dated as of June 30, 2010 and effective as of June 30, 2010 only to the extent that all or any portion of the Redemption Consideration remains unpaid as of June 30, 2010 (the "Shortfall").
