The product obtained through subtracting the Trigger Follow On Purchase Price ("B") from the PIPE Purchase Price ("A"), divided by the Trigger Follow On Purchase Price ("B"); multiplied by the PIPE Number of Shares Purchased ("C") or, expressed as a formula: ((A-B)/B) x C, rounded up to the next whole number
