Rating Agency Confirmation. A written affirmation from each of the Rating Agencies that the credit rating of the securities issued in connection with the Loan (or any portion thereof or interest therein) by such Rating Agency immediately prior to the occurrence of the event with respect to which such Rating Agency Confirmation is sought will not be qualified, downgraded or withdrawn as a result of the occurrence of such event, which affirmation may be granted or withheld in such Rating Agency's sole and absolute discretion
