As of any date, shall mean the volume-weighted average trading price of a share of Common Stock, as reported on the NASDAQ or such other exchange or quotation system that may on such date constitute the primary exchange or quotation system on which the shares of Common Stock are then listed or quoted, on each of the ninety (90) consecutive Trading Days ending on and including the Trading Day prior to such date
