References to the Net Worth. Shall mean, as of any date of determination, the aggregate book value of the consolidated assets of Ensign and its Subsidiaries, minus the sum of (i) reserves applicable thereto, and (ii) all liabilities of Ensign and its Subsidiaries on a consolidated basis (including accrued and deferred income taxes), all as determined in accordance with GAAP.
