Regeneron Agreement

Regeneron Agreement. Means the Letter Agreement between Regeneron and Upstream, to be executed soon before or after the date of this Agreement (as amended or restated from time to time). Upstream shall not amend any terms and provisions of Regeneron Agreement, which have effect on Maruho's obligation under this Agreement without Maruho's advance written consent, provided, however, that such consent shall not be unreasonably withheld or rejected.
