Registration Condition. Means, in respect of any Note, that the Investor Shares issuable in respect of such Note may be resold without a legend pursuant to an effective registration statement pursuant to Rule 144 under the 1933 Act.
Registration Condition. Means in respect of the Initial Tranche and in respect of the Second Tranche, the Investor Shares issuable pursuant to the Notes and Warrants to be issued in in the Initial Tranche and the Second Tranche may be resold without a legend pursuant to an effective registration statement pursuant to Rule 144 under the 1933 Act.
Registration Condition. Means that the resale of the Conversion Shares shall have been registered under the Securities Act of 1933, as amended, and that such registration continues to be effective and available for such resale.
