Registration Statement. Means the registration statement, including the Prospectus, amendments and supplements to such registration statement or Prospectus, including, as applicable, any pre- and post-effective amendments, all exhibits thereto, and all material incorporated by reference in such registration statement, for the Shares required to be filed by the Company with the Commission pursuant to this Agreement.
