Registration Unavailability Period
Registration Unavailability Period. Means any period during which a Registration Statement and/or the related Prospectus is unavailable to permit the Investor to resell all of the Registrable Securities included therein at then prevailing market prices (and not fixed prices) commencing upon notice from the Company to the Investor of the occurrence of any Suspension or any event of the kind described in the first sentence of Section 3(f).
