Regular Annual Salary

Regular Annual Salary. The base annual salary being paid to the Executive immediately prior to the Effective Date, exclusive of any bonuses or other incentive compensation, but inclusive of any compensation then being deferred by the Executive under the Company's Deferred Compensation Plan.
