Example Definitions of "Related Transaction"
Related Transaction. Shall mean any transaction, whether direct or indirect, with the Company where any current or former shareholder, director, officer or employee of the Company or any relative or "associate" (as defined in the rules and regulations promulgated under the Securities Exchange Act of 1934, as amended) of any such person provides services (other than employment of such individuals by the Company) by or to, or the sale of products by or to, or rental of real or personal property from or to or transfer... or license technology, intellectual property or know-how (except for assignment of such to the Company in connection with employment or consultancy relationships with the Company), or otherwise requiring cash payments to or by, any such person in excess of an aggregate of $1,000, other than the employment of such individuals, options granted to or exercised by such individuals pursuant to the Company's 1996 Stock Option Plan or 2005 Stock Option Plan and purchases of securities of the Company by such individuals on the same terms as other third party investors and other than a Participation Plan as may be adopted by the Board of Directors.
