Relatively Equivalent Terms. Means, as of any date of determination, (A) with respect to any share of Common Stock proposed to be sold pursuant to a Sale Notice, the Relatively Equivalent Terms for a share of a series of Preferred Stock shall equal the product of (1) the amount payable in respect of such share of Common Stock and (2) the number of shares of Common Stock into which such share of Preferred Stock is convertible in the event of an optional conversion of such share of Preferred Stock pursuant to the Company... Charter as of such date of determination, and (B) with respect to any share of Preferred Stock proposed to be sold pursuant to a Sale Notice, the Relatively Equivalent Terms for a share of Common Stock shall equal the divisor of (1) the amount payable in respect of such share of Preferred Stock, over (2) the number of shares of Common Stock into which such share of Preferred Stock is convertible in the event of an optional conversion of such share of Preferred Stock pursuant to the Company Charter as of such date of determination.
