Release Date

Release Date. Means the later of (x) the earlier of (i) the Resale Effective Date registering all of the Securities or (ii) the date that the Securities can be sold, assigned or transferred without restriction or limitation pursuant to Rule 144 promulgated under the 1933 Act, as amended, (or a successor rule thereto) and (y) the Trading Day during which the Company files a Current Report on Form 8-K with the Securities and Exchange Commission giving public notice of the Stockholder Approval.

Release Date. Means the date that the Company obtains the Stockholder Approval or a Board Approval in lieu of Stockholder Approval to effect the purposes of the Stockholder Approval.

Release Date. Means the date on which the Founder Shares are disbursed from escrow pursuant to Section 3 of that certain Share Escrow Agreement dated as of [●], 2024 by and among the holders of Founder Shares and Continental Stock Transfer & Trust Company. 2

Release Date. The date on which the Initial Shares are disbursed from escrow pursuant to Section 3 of that certain Stock Escrow Agreement dated as of September 17, 2024 by and among the Investors and Continental Stock Transfer & Trust Company.
