Remaining Dividend Deficit

Remaining Dividend Deficit. For each Applicable Class in respect of an Option, determined in connection with a Dividend Event, means the Dividend Deficit in respect of such Option in connection with such Dividend Event, less all payments made by the Company pursuant to Section 7(b)(vi) in respect of such Option, in each case to the extent relating to shares of the Applicable Class.
